General Terms & Conditions of Contract (VOB/B & BGB)

Last updated: January 1, 2026. Governs all proposals, tenders, and construction executions.

1. Scope of Application & Hierarchy of Terms

These Terms and Conditions govern all commercial and residential contracting, roof installations, building envelope refurbishments, scaffolding erections, and consultancy services provided by Zappydoqust Structural Roofing Ltd ("the Contractor") to property owners, developers, architects, and corporate entities ("the Client").

Unless explicitly superseded by an individual written master construction contract signed by an authorized director, the German Construction Tendering and Contract Regulations Part B (VOB/B - Vergabe- und Vertragsordnung für Bauleistungen) and German Civil Code (BGB) apply subsidiarily.

2. Quotations, Site Surveys & Contract Conclusion

Preliminary estimates generated online or via telephone calculations are non-binding. Binding contractual obligations only arise upon the Contractor’s issuance of a formal written project confirmation following a physical or drone-verified on-site structural audit.

The Client is obliged to provide truthful structural documentation, including existing load calculations, presence of hazardous substances (e.g. historical asbestos sheeting), and clear unimpeded site access for mobile cranes and scaffolding infrastructure.

3. Execution Standards & Weather Exclusions

All works are executed in compliance with the Technical Rules of the Central Association of the German Roofing Trade (ZVDH), DIN 4108, DIN 18338, and EN standards.

The Contractor reserves the right to pause open roofing execution during adverse meteorological events (heavy downpours, wind velocities above Beaufort Scale 6, freezing conditions impairing mortar or torch membrane adhesion) to safeguard the structural interior without incurring delay penalties.

4. Payments, Retentions & Title Reservation

Invoices are payable strictly in accordance with the milestone schedule set out in the project tender (e.g. 30% upon scaffolding and timber staging, 40% upon membrane/insulation sealing, 30% upon final acceptance inspection).

Delivered roofing tiles, slate, zinc sheets, and insulation materials remain the absolute property of the Contractor until all invoiced amounts under the contract are settled in full (Extended Reservation of Title).

5. Warranty Bonds & Limitation of Liability

Structural roof works carry a statutory warranty of five (5) years under BGB / four (4) years under VOB/B, extendable up to twenty-five (25) years for fully certified comprehensive envelope installations under our underwritten warranty bond programs.

Warranty claims exclude normal aging, moss formation resulting from adjacent forest shade without preventative biocide treatment, and force majeure events exceeding statutory design norms (e.g., tornado-force localized downdrafts).

6. Governing Law & Jurisdiction

The contractual relationship is governed exclusively by the laws of the Federal Republic of Germany. For commercial transactions with merchants (Kaufleute) or corporate bodies, the exclusive place of jurisdiction for all disputes is the District Court of Stuttgart (Amtsgericht / Landgericht Stuttgart).
